1. Acceptance of Terms
Welcome to TA Quant. By accessing or using any of our products and services, including Terminal, TA Quant, and TA Syndicate (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and TA Quant ("TA," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Your continued use of the Services after any modifications indicates your acceptance of the updated Terms.
2. Eligibility and Account Registration
2.1 Age and Jurisdiction Requirements
You must be at least 18 years of age to use our Services. By registering for an account, you represent and warrant that you meet this age requirement and that you are legally permitted to use our Services in your jurisdiction.
2.2 Prohibited Jurisdictions
Our Services are not available to residents or citizens of jurisdictions where the provision of cryptocurrency trading services, algorithmic trading tools, or marketing services would violate applicable laws or regulations. This includes, but is not limited to, residents of countries subject to comprehensive sanctions programs administered by the United States, European Union, or United Nations.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any losses arising from the unauthorized use of your account.
2.4 Account Information
You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.
3. Description of Services
3.1 Terminal
Terminal provides institutional-grade trading infrastructure, including but not limited to algorithmic trading modules, AI-driven strategy optimization, hedge fund-grade execution pipelines, real-time crypto screeners, and integration with 100+ cryptocurrency exchanges. Terminal processes user instructions to execute trades on connected exchanges but does not itself act as an exchange, broker, or custodian of digital assets.
3.2 TA Quant
TA Quant delivers trading intelligence through proprietary trading signals, automated execution frameworks, customizable alerts, and analytics. TA Quant provides tools and information designed to assist trading decisions but does not guarantee trading outcomes or profitability.
3.3 TA Syndicate
TA Syndicate offers performance marketing services including KOL activations, trading competitions, narrative strategy development, and campaign execution. Services are designed for blockchain projects, protocols, and exchanges seeking measurable adoption and trading activity.
4. User Responsibilities and Acceptable Use
4.1 Compliance with Laws
You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Services. You are solely responsible for determining whether your use of the Services is lawful in your jurisdiction.
4.2 Trading Risks
You acknowledge and accept that cryptocurrency trading involves substantial risk of loss. You further acknowledge that:
Past performance of trading strategies does not guarantee future results
Market conditions can change rapidly and unpredictably
Algorithmic and automated trading strategies may result in significant losses
You may lose some or all of your invested capital
You are solely responsible for your trading decisions and their outcomes
4.3 Prohibited Activities
You agree not to:
Use the Services for any illegal purpose or in violation of any applicable laws
Attempt to gain unauthorized access to our systems, networks, or data
Reverse engineer, decompile, or disassemble any aspect of the Services
Use the Services to transmit viruses, malware, or other harmful code
Engage in wash trading, market manipulation, or other fraudulent activities
Interfere with or disrupt the integrity or performance of the Services
Use automated systems (bots, scrapers) to access the Services without our express written permission
Impersonate any person or entity or falsely state or misrepresent your affiliation
Share your account credentials with third parties
Use the Services to violate the terms of service of any connected exchange
5. Fees and Payment
5.1 Service Fees
Use of our Services requires payment of subscription fees, performance fees, or campaign fees as specified in your selected plan. All fees are stated in U.S. Dollars unless otherwise specified.
Terminal Pricing:
Professional Plan: $299/month
Enterprise Plan: Custom pricing based on requirements
TA Quant Pricing:
Standard Plan: $99-$499/month depending on strategy access
Performance Fees: 10-20% on profits for advanced users and institutional clients
TA Syndicate Pricing:
Campaign Retainer: Starting at $4,500 per campaign
Performance-Based Fees: 10-15% of KOL pricing
Platform Fees: Custom pricing for white-label solutions
5.2 Billing and Subscription
Subscriptions are billed on a recurring monthly or annual basis, depending on your selected plan. You authorize us to charge your designated payment method for all fees incurred. Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.
5.3 Payment Processing
We use third-party payment processors to handle transactions. You agree to comply with the terms and conditions of these payment processors. We are not responsible for any errors, delays, or issues arising from payment processing.
5.4 Late Payment and Suspension
If payment is not received by the due date, we reserve the right to suspend or terminate your access to the Services until payment is made. You remain liable for all fees incurred during any suspension period.
5.5 Fee Changes
We reserve the right to modify our fees at any time. Any fee changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle. Your continued use of the Services after fee changes take effect constitutes acceptance of the new fees.
6. Exchange Integration and API Usage
6.1 Exchange Accounts
To use Terminal and TA Quant, you must connect your own cryptocurrency exchange accounts. You are solely responsible for maintaining your exchange accounts and ensuring compliance with each exchange's terms of service.
6.2 API Keys and Permissions
When you provide API keys to connect your exchange accounts to our Services, you grant us permission to access your exchange accounts solely for the purpose of executing trades and retrieving account information as necessary to provide the Services. We recommend using API keys with trading and read permissions only, without withdrawal permissions.
6.3 API Key Security
You are responsible for the security of your API keys. We implement industry-standard security measures to protect your API keys, but we cannot guarantee absolute security. You should regularly rotate your API keys and monitor your exchange accounts for unauthorized activity.
6.4 Third-Party Exchange Risks
We are not responsible for the performance, availability, security, or terms of service of third-party cryptocurrency exchanges. Exchange downtime, API limitations, or policy changes may impact the functionality of our Services.
7. Intellectual Property Rights
7.1 Our Proprietary Rights
The Services, including all software, algorithms, trading strategies, designs, text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, and artwork (collectively, "Content"), are owned by or licensed to TA Quant and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
7.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to:
Reproduce, duplicate, copy, or resell any portion of the Services
Modify, adapt, or create derivative works based on the Services
Distribute, license, or sublicense the Services to third parties
Use the Services to develop competing products or services
7.3 User-Generated Content
If you submit any content to our Services (including trading strategies, feedback, or communications), you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and distribute such content in connection with operating and improving the Services.
7.4 Feedback
We welcome your feedback and suggestions regarding the Services. You agree that we may use any feedback you provide without compensation or attribution to you, and you hereby waive any rights you may have in such feedback.
8. Data Privacy and Security
8.1 Data Collection and Use
We collect and process your personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.
8.2 Trading Data
We may collect and analyze trading data, performance metrics, and usage patterns to improve our Services, develop new features, and provide aggregated market insights. All trading data used for these purposes will be anonymized and aggregated to protect your privacy.
8.3 Security Measures
We implement commercially reasonable technical and organizational measures to protect your data, including encryption, secure authentication, and regular security audits. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.
8.4 Data Retention
We retain your data for as long as necessary to provide the Services and comply with legal obligations. You may request deletion of your data by contacting us, subject to our legal retention requirements.
9. Disclaimers and Limitations of Liability
9.1 No Investment Advice
The Services, including all trading signals, strategies, analytics, and market insights provided through Terminal, TA Quant, and TA Syndicate, are for informational and educational purposes only and do not constitute investment, financial, trading, or legal advice. We do not recommend that any cryptocurrency, trading strategy, or investment should be bought, sold, or held by you.
You are solely responsible for conducting your own due diligence and making your own trading and investment decisions. You should consult with qualified financial, legal, and tax advisors before making any trading or investment decisions.
9.2 No Guarantees
We make no representations or warranties regarding:
The profitability or performance of any trading strategy or signal
The accuracy, completeness, or timeliness of any market data or analytics
The availability, reliability, or uptime of the Services or connected exchanges
The success or results of any marketing campaign conducted through TA Syndicate
9.3 Service Provided "As Is"
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
9.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TA QUANT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
Your use or inability to use the Services
Any unauthorized access to or alteration of your transmissions or data
Any conduct or content of any third party on or through the Services
Trading losses incurred through use of the Services
Exchange downtime, API failures, or connectivity issues
Any other matter relating to the Services
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
9.5 Force Majeure
We shall not be liable for any failure or delay in performance of the Services due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
10. Indemnification
You agree to indemnify, defend, and hold harmless TA Quant, its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
Your use or misuse of the Services
Your violation of these Terms or any applicable law or regulation
Your violation of any rights of any third party
Your trading activities and decisions made using the Services
Any content you submit or transmit through the Services
Your exchange accounts, API keys, or trading credentials
This indemnification obligation will survive the termination of these Terms and your use of the Services.
11. Termination
11.1 Termination by You
You may terminate your account and discontinue use of the Services at any time by contacting us. Upon termination, you will remain liable for all fees incurred prior to termination. Subscription fees are non-refundable except as required by law.
11.2 Termination by Us
We reserve the right to suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:
Breach of these Terms
Suspected fraudulent, abusive, or illegal activity
Extended periods of inactivity
Requests by law enforcement or other government agencies
Technical or security issues that may harm our systems or other users
11.3 Effect of Termination
Upon termination of your account:
Your right to use the Services will immediately cease
We may delete your account data subject to our data retention policies
Any outstanding payment obligations will become immediately due
Sections of these Terms that by their nature should survive termination will survive
12. Dispute Resolution and Arbitration
12.1 Informal Resolution
Before filing a formal dispute, you agree to first contact us to attempt to resolve the issue informally. Please send your concerns to legal@taquant.com. We will attempt to resolve the dispute informally within 60 days.
12.2 Binding Arbitration
If we cannot resolve the dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
The arbitration will be conducted by a single arbitrator under the rules of a mutually agreed-upon arbitration organization. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court having jurisdiction.
12.3 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW, (A) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR LITIGATED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (C) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.
12.4 Exceptions to Arbitration
Notwithstanding the above, either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Services or intellectual property infringement without first engaging in arbitration.
13. Governing Law and Jurisdiction
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the jurisdiction where TA Quant is registered, without regard to its conflict of law provisions.
For any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us, constitute the entire agreement between you and TA Quant regarding the Services and supersede all prior or contemporaneous communications and proposals.
14.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
14.4 Assignment
You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms and our rights and obligations to any third party without restriction.
14.5 Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, or strikes.
14.6 Notices
All notices under these Terms must be in writing and will be deemed given when delivered personally, sent by confirmed email, or sent by certified or registered mail, return receipt requested, to the addresses specified by the parties.

14.7 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated herein.
14.8 Headings
The headings in these Terms are for convenience only and do not affect the interpretation of these Terms.
By using TA Quant's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
